Legal Services Although commercial and consumer creditor representation is currently the firm's largest area of practice, Mark A. Pickens, P .C. has the capability to provide a full range of legal services to all types of business entities, individuals, and organizations in the following areas of law:

FORECLOSURE, BANKRUPTCY, COLLECTION AND CREDITOR'S RIGHTS

  • Representation of secured creditors in the processing and conducting of non judicial and judicial foreclosures of real estate liens and of personal property security interests;
  • Representation of creditors and other claimants in general collection activities and actions, including litigation and pre judgment and post judgment remedies; and
  • Representation of secured and unsecured creditors in all matters encompassed in bankruptcy, including traditional areas of bankruptcy practice, such as post petition financing, treatment of executory contracts and leases, fraudulent conveyances, preferences, and proposing and objecting to plans of reorganization. In addition, the group regularly assists clients in structuring transactions to minimize risk in the event of future insolvency proceedings. The group also advises boards of directors and corporate officers on fiduciary obligations in troubled situations and other creditor's rights laws.

REAL ESTATE, BANKING AND LENDING

  • Presentation of mortgage banking firms in the documentation of all manner of residential loans and in all matters relating to compliance with governmental regulations affecting the mortgage lending industry;
  • Representation of banks, savings and loan associations, other financial institutions, and individuals in negotiating, structuring, documenting, and closing a variety of loans, including real estate acquisition loans, construction loans, commercial lines of credit, and corporate acquisition loans;
  • Representation of financial institutions in the negotiation and documentation of loans for the development and construction of office buildings, shopping centers, apartment buildings, condominiums, hotels, home and town home developments, subdivisions, and special purpose developments;
  • Representation of lenders and borrowers in all aspects of commercial and residential loan workouts, including the negotiation and documentation of settlement and modification agreements;
  • Representation of developers in all aspects of real estate projects, which representation may include assisting the developer in the choice and organization of an appropriate development entity, negotiating equity and short term and long term debt financing, preparing and negotiating construction and professional contracts, preparing and negotiating leases and sale documents, and furnishing general legal advice; and presentation of corporations, investment groups, and individuals in the acquisition and sale of improved and unimproved real estate.

CORPORATE AND GENERAL BUSINESS

  • Representation of individuals, privately held corporations, publicly held corporations, and all types of business entities in a wide variety of business transactions, which representation includes participation in business negotiation, as well as, preparation of the underlying documentation with respect to matters such as:
  • Acquisitions and sale of businesses involving both stock and asset transactions;
  • Planning and organization of new business entities, including corporations, limited partnerships, general partnerships, and joint ventures: and
  • Employment matters, including preparation of employment agreements and consultations with clients on a variety of other employment related matters.

CIVIL LITIGATION

  • Representation of individuals and all types of business entities in state and federal trial and appellate courts, and in administrative proceedings before state and federal agencies in the litigation of disputes involving all aspects of business and commercial transactions;
  • Representation of individuals and all types of business entities in the litigation of disputes involving all aspects of real estate transactions, including purchase and sale agreements, real estate leases, forcible entry and detainer actions, mortgage and security instruments, land title claims, encroachment and easement disputes, condemnation proceedings, partition actions, toxic waste disputes, lien claims, title insurance claims, oil and gas contracts, royalty and joint operating agreements, joint venture and co tenant disputes, environmental disputes, and domestic and international arbitration; and
  • Representation of banks, savings and loan associations, mortgage banking firms, and individuals in the litigation of disputes involving claims based upon lender liability, usury, debt deficiencies, and mortgage insurance.

Pickens offers clients a broad based technical knowledge of the banking industry The firmís legal assistants are highly specialized, skilled and focused. Each of the staff members in the firm are cross trained in the various processes and technologies, so that clients have access to knowledgeable personnel at all times. Each action referred to our office is assigned to a specific staff member who will be primarily responsible for overseeing the action. This enables the client to have a contact person with specific knowledge of each action assigned The use of the most advanced industry specific computer software enables the firms support staff to maintain quality control, providing the ability to track all files in progress and provide up to date reports based on the client's specific needs. This enables a personal approach to the client's individual requirements. Our firm adheres to all time and fee guidelines as set by Fannie Mae, Freddie Mac, the United States Veteran's administration, and the Department of Housing and Urban Development.

Admitted to the practice of law in the State of Alabama in October, 1986. Admitted to practice in the United States District Court for the Northern District of Alabama, United States District Court for the Middle District of Alabama and the United States District Court for the Southern District of Alabama.
